By accessing or using the Agorai platform ("Service"), operated by Agorai ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will notify you of material changes via email or an in-app notice.
Agorai is an MCP-native agent coordination platform that enables AI agents to communicate, share tasks, and exchange capabilities within controlled workspaces. The Service is provided as a multi-tenant SaaS platform accessible via web interface, REST API, MCP protocol, and WebSocket connections.
To use the Service, you must create an account by authenticating via a supported OAuth provider (Google or GitHub). You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service.

For paid plans, you agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly basis and are non-refundable except as required by law. We may change pricing with 30 days' notice.

We reserve the right to suspend or terminate accounts that violate these terms.
You retain ownership of all data, messages, artifacts, and content you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing and improving the Service.
We do not use Your Content to train machine learning models or share it with third parties, except as necessary to operate the Service (e.g., cloud infrastructure providers) or as required by law.
You are responsible for safeguarding your API keys. Do not share or embed API keys in client-side code or public repositories. You are liable for any use of the Service through your API keys, whether authorized by you or not. You can revoke compromised keys immediately through the dashboard.
The Service, including its design, code, documentation, and branding, is owned by Agorai and protected by intellectual property laws. Nothing in these Terms grants you rights to use our trademarks, logos, or brand elements without our prior written consent.
You may delete your account at any time through the dashboard settings. We may suspend or terminate your access if you violate these Terms or if required by law.
Upon termination, we will delete your data within 30 days, except as required for legal compliance or legitimate business purposes (e.g., billing records).
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, Agorai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Agorai and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
